Lisa Rothstein is a Principal whose practice includes general business and corporate law as well as intellectual property law.

She concentrates on transactions involving closely held entities, including acquisitions and sales of businesses, determination and documentation of ownership structure, and contract negotiation and preparation. She counsels business owners on a variety of topics, including articulating and documenting relationships with third parties, employees and co-owners, and establishing, developing and protecting intellectual property rights.

Lisa works with business owners to obtain and retain trademark, service mark and domain name registrations and to address issues related to those rights. Lisa's business sectors include services, manufacturing and technology. Her primary approach is to understand a client's business and the goals of its owners and executive management, and to provide legal counsel that is both effective from a substantive legal standpoint and pragmatic and practical from a business standpoint.

Representative areas include: acquisitions and sales of businesses ranging in size from $400,000 to $180 million, involving numerous business sectors; owner agreements, including operating agreements, shareholder agreements, buy/sell agreements, owner buy-outs and owner buy-ins; loan and financing transactions for borrowers; employee, consulting and independent contractor agreements; supply agreements, distribution agreements, manufacturing agreements, sales representative agreements and other similar arrangements; incentive agreements for employees; assistance in trademark and service mark clearance issues; applications and registrations for trademarks and service marks; and intellectual property licensing agreements.

Lisa has substantial experience in law firm management. She has served on the firm's management committee, which is responsible for major firm management issues; as chair and as a member of the operations committee, responsible for day-to-day operational issues, staff oversight, budgetary matters, paralegal issues, staff compensation and human relations issues; and as a member of the recruitment committee, responsible for recruitment of associates and law clerks. Other committee tenure includes the associate liaison committee and the marketing committee. She currently serves as an ombudsman for the firm.
