Kathryn Kaler understands modern families and welcomes the opportunity to sit down with them to create innovative estate plans that protect assets and minimize taxes.

She recognizes that many aspects of her clients’ lives affect their estate plans and focuses on the details of their closely held businesses and intra-family dynamics when advising them. Kathryn offers her clients a full range of estate planning services, including the preparation of revocable and irrevocable trusts, wills, powers of attorney and other estate planning documents for both small and sizable complex estates which involve advanced concepts aimed at transferring wealth in a tax efficient manner. 

For her corporate clients, Kathryn customizes succession plans using creative resolutions to transfer wealth in a manner that aligns with their values and personal and professional goals. Kathryn leverages her experience in the corporate arena to provide counsel to clients on entity formation, mergers and acquisitions, shareholder and buy-sell agreements, and development and maintenance of corporate governance. Her practice involves negotiating and drafting all types of commercial contracts, including purchase and sale contracts, leases, and employment, confidentiality, and noncompetition agreements.

As part of her corporate practice, Kathryn advises healthcare entities of all sizes on a broad spectrum of regulatory, corporate, and transactional matters. She focuses on providing clients with clarity on a wide range of federal and state regulatory matters affecting hospitals and health systems, including physician contracting, compliance with the anti-kickback statute, Stark law, and the corporate practice of medicine. Kathryn also counsels covered entities and business associates regarding compliance with the Health Insurance Portability and Accountability Act (HIPAA) and other federal and state privacy, security and breach notification laws. Kathryn is well-versed in negotiating business associate agreements, and has drafted comprehensive health information privacy and security compliance programs for healthcare providers.

Prior to joining Chuhak & Tecson as an associate, Kathryn clerked with the firm for two years, gaining experience in various areas of law, including corporate, healthcare, estate planning and trust administration. She also clerked for the United States Attorney’s Office based in Washington, D.C. She has served on the firm’s Professional Education and Marketing Committees.
