Margaret Salinas is a corporate attorney who focuses her practice on mergers and acquisitions, finance and corporate governance matters.

Overview

She has advised clients in a variety of corporate transactions, both on the buy-side and sell-side, including stock and asset purchases, mergers and joint ventures. She represents a wide range of companies of all sizes in a variety of industries, including manufacturing, financial, agricultural, medical, accounting and private investment funds. Her experience ranges from lower- to upper-middle-market corporate transactions. Margaret is involved in all aspects of business planning, including business formation, ownership structure, day-to-day business matters and contract preparation and negotiation.

Beyond corporate transactions, she represents lenders and borrowers in the context of both secured and unsecured financing transactions. Margaret has advised clients in various finance transactions, including acquisition financing, asset-based lending, cash-flow based lending, real estate secured loans, credit facilities and construction loans.

  • Represented a national private healthcare management company in the $55 million sale of all of its membership units to a private equity company.
  • Represented a national fitness corporation in the $10 million sale of all of its assets.
  • Represented an investment firm in the acquisition of an east coast audio visual company.
  • Represented a national aquatic services corporation in multiple acquisitions of aquatic services companies.
  • Represented an investment firm in numerous acquisitions of various east coast machinery businesses.
  • Represented an investment firm in the acquisition of a machinery business with multiple locations throughout the northeast region in excess of $30 million.
  • Represented an investment firm in the $19 million acquisition of a construction equipment business with multiple locations throughout the northeast region.
  • Represented a brokerage and consulting firm in the $20 million sale of all of its assets to a national insurance brokerage.
  • Represented an engineering company in the sale of all of its assets, including patented processes.
  • Represented an investment firm in the $10 million acquisition of a construction equipment business with multiple locations throughout the northeast.
  • Represented Midwest-based toxicology testing and research laboratory in the sale of all of its membership interests to global laboratory corporation in excess of $65 million.
  • Represented an investment firm in the $10 million acquisition of construction equipment business with multiple locations throughout the south and southwest region.
  • Represented a fertility practice in the sale of all of its assets to a private investment group in excess of $15 million.
  • Represented an accounting firm in the sale of its assets to a larger Chicago-based accounting firm.
  • Represented a brokerage and consulting firm in the sale of various assets to a national insurance brokerage.
  • Represented an investment firm in the $7.5 million acquisition of a machinery business.
  • Represented an investment firm in the acquisition of a machinery business with various locations in the southwest region.
  • Represented an investment firm in the $8 million purchase of all membership interests of an audio visual company.
  • Represented a regional veterinary practice in the sale of all of its assets to a veterinary practice group in excess of $50 million.
  • Represented hydraulics corporation in the acquisition of Midwest hydraulic parts distributor.
  • Represented purchaser in the acquisition of a nationwide distributor of exercise equipment.
  • Represented an investment firm in the $13 million acquisition of a construction equipment business with multiple locations throughout the southwestern region.
  • Represented an investment firm in the stock purchase in excess of $18 million of a Texas-based machinery business with multiple locations across the southwest region.
  • Represented an investment firm in its acquisition of membership interests of two operating companies and one subsidiary of a regional manufacturer and machinery company exceeding $80 million.
  • Represented a waste removal corporation in the sale of all of its stock exceeding $40 million.

  • Represented an investment firm in connection with a $2 million dollar revolving line of credit and $40 million dollar syndicated loan from regional bank, as administrative agent, and other lenders. Involved in negotiation of the loan agreement and security documents.
  • Represented an investment firm in connection with a revolving line of credit and term loan from regional bank. Involved in negotiation of the loan agreement and security documents.
  • Represented a regional lender in connection with a $6 million dollar loan to a real estate investor to acquire multi-family buildings and make improvements. Involved in drafting and negotiation of the loan agreement and security documents and handling of tenant matters and documentation.
  • Represented a regional lender in connection with a $3.2 million dollar commercial loan to a real estate investor secured by real estate, investment accounts and life insurance policies. Involved in drafting and negotiation of the loan agreement and security documents.
  • Represented a national bank in connection with a term loan to commercial real estate investor to acquire commercial real estate. Involved in drafting and negotiation of the loan agreement and security documents and handling of commercial tenant matters and documentation.
  • Represented a national bank in connection with loan facilities to a medical practice for the construction of the premises. Involved in drafting and negotiation of the credit agreement and security documents.
