Margaret Salinas is a corporate attorney who focuses her practice on mergers and acquisitions, finance and corporate governance matters.

 

She has advised clients in a variety of corporate transactions, both on the buy-side and sell-side, including stock and asset purchases, mergers and joint ventures. She represents a wide range of companies of all sizes in a variety of industries, including manufacturing, financial, agricultural, medical, accounting and private investment funds. Her experience ranges from middle market to multi-million dollar corporate transactions. Margaret is involved in all aspects of business planning, including business formation, ownership structure, day-to-day business matters and contract preparation and negotiation.

Beyond corporate transactions, she represents lenders and borrowers in the context of both secured and unsecured financing transactions. Margaret has advised clients in various finance transactions, including acquisition financing, asset-based lending, cash-flow based lending, real estate secured loans, credit facilities and construction loans.

Some of Margaret's recent corporate transactional work includes the following matters:

  • Part of a transaction team that represented an investment firm in its acquisition of ten machinery businesses throughout the northeastern United States occurring on the same day. Involved in drafting and negotiating asset purchase agreements, employment agreements, subordinated promissory notes and handled diligence.
  • Part of a transaction team that represented a national private healthcare management company in the sale of all of its membership interest. Involved in drafting and negotiating asset purchase agreement, ancillary documents and handled diligence.
  • Part of a transaction team that represented a national fitness facility corporation in the sale of all of its assets. Involved in drafting and negotiating asset purchase agreement, ancillary documents and handled diligence.
  • Part of a transaction team that represented a national aquatic services corporation in its acquisition of all assets of a Midwest aquatic services company. Involved in drafting and negotiating asset purchase agreement, employment agreement, ancillary documents and diligence.
  • Part of transaction team that represented an investment firm in its acquisition of all assets of multiple east coast machinery businesses. Involved in drafting and negotiating asset purchase agreement, subordinated promissory note, guaranty, ancillary documents and handled diligence.
  • Part of transaction team that represented an investment firm in its acquisition of all assets of multiple east coast construction equipment businesses. Involved in drafting and negotiating asset purchase agreement, ancillary documents and handled diligence.
  • Represented an engineering company in the sale of all of its assets, including intellectual property. Prepared and negotiated asset purchase agreement, disclosure schedules and ancillary documents, oversaw assignment of patents and handled diligence.
  • Part of transaction team that represented an investment firm in its acquisition of all assets of multiple east coast machinery businesses. Involved in drafting and negotiating asset purchase agreement, ancillary documents and handled diligence.
  • Represented an investment firm in the purchase of all assets of an east coast machinery company. Prepared and negotiated asset purchase agreement, lease for commercial property, disclosure schedules, ancillary documents and handled diligence.
  • Represented an investment firm in the purchase of inventory and various assets of an east coast machinery company. Prepared and negotiated asset purchase agreement, disclosure schedules, ancillary documents and handled diligence.
  • Part of a transaction team that represented insurance company in the sale of all of its assets. Prepared disclosure schedules and ancillary documents and handled diligence
  • Part of a transaction team that represented fertility practice in the sale of all of its assets.
Some of Margaret’s recent finance work includes the following matters:

  • Represented an investment firm in connection with a $2 million dollar revolving line of credit and $40 million dollar syndicated loan from regional bank, as administrative agent, and other lenders. Involved in negotiation of the loan agreement and security documents.
  • Represented an investment firm in connection with a revolving line of credit and term loan from regional bank. Involved in negotiation of the loan agreement and security documents.
  • Represented a regional lender in connection with a $6 million dollar loan to a real estate investor to acquire multi-family buildings and make improvements. Involved in drafting and negotiation of the loan agreement and security documents and handling of tenant matters and documentation.
  • Represented a regional lender in connection with a $3.2 million dollar commercial loan to a real estate investor secured by real estate, investment accounts and life insurance policies. Involved in drafting and negotiation of the loan agreement and security documents.
  • Represented a national bank in connection with a term loan to commercial real estate investor to acquire commercial real estate. Involved in drafting and negotiation of the loan agreement and security documents and handling of commercial tenant matters and documentation.
  • Represented a national bank in connection with loan facilities to a medical practice for the construction of the premises. Involved in drafting and negotiation of the credit agreement and security documents.

Margaret ensures her clients are served to the best of her ability by collaborating with attorneys both within and outside of her practice areas. She regularly attends conferences and writes articles on immediate changes in laws that may impact her clients’ business. Margaret also currently serves as a member of the firm's Associate/Law Clerk Oversight Committee and an ambassador of Chuhak & Tecson's Women Helping Women program.

Margaret earned her J.D. from DePaul University College of Law, cum laude. While in law school, she received the CALI Excellence for the Future Award in International Aviation Law and Policy and International Dispute Resolution.

In her free time, Margaret likes traveling, going to new restaurants, spending time with friends and family and going on walks with her dog.
