Business structure

Chuhak & Tecson prepares all documentation necessary to establish a business entity to operate a professional practice or other healthcare provider organization, based on the type of entity chosen by the clients. These documents include but are not limited to Articles of Organization or Incorporation; corporate by-laws; set-up of a corporate minute book and Actions and Consents of shareholders and/or boards of directors establishing the entity. We will also prepare the employment agreements for the principals in the medical entity, separating shareholders from non-shareholders. Once the entity is established, our firm maintains the annual reports and consents and actions by the shareholders and board of directors for each annual meeting, as well as any special meetings that may become necessary throughout each year.

In addition, Chuhak & Tecson works with the principals of the entity to establish the ownership interests in stock and/or special concessions within the entity. We also assist the entity as general counsel when advising the owners on day-to-day legal matters such as when principals leave or retire, or new principals join the entity and the impact these changes have on the entity. Our attorneys will also advise the entity on the legal and tax consequences on the merger, consolidation or other restructuring of the legal entity.
