Purchases and sales

Our attorneys have significant experience in handling real estate purchases and sales ranging from small, straightforward deals to complex, multi-property and multi-state transactions. Clients rely on us to negotiate and document the terms of these transactions, to structure acquisitions to create tax advantages, to oversee the due diligence process and to successfully complete the transaction.

We assist clients in all aspects of these transactions, including:

-assessment and compliance with restrictions in leases
-mortgages and other agreements
-due diligence
-analyzing tax consequences
-negotiating all documentation relating to the transaction
-structuring the entities necessary to complete the transaction
-negotiating and coordinating with lenders

Many real estate transactions involve issues that extend beyond those traditionally associated with straightforward property sales or purchases. As part of a full-service law firm, we regularly tap into the knowledge of our fellow attorneys in order to provide seamless service and coordinated solutions. For example, when transactions involve bankruptcy and creditors' rights issues, we work closely with attorneys from our creditors' rights/loan practice. In conjunction with our litigation department, practice, we also help resolve disputes that arise between transaction participants. Likewise, we regularly tap in-house resources when issues arise concerning tax-exempt organizations.
