Margaret Salinas is an experienced corporate attorney who represents clients in a wide range of mergers, acquisitions and other corporate transactions.

Overview

Margaret has advised clients on a variety of multimillion-dollar corporate transactions, both on the buy-side and sell-side, including stock and asset purchases, mergers and joint ventures. Margaret’s deal work extends from coast to coast and across a broad spectrum of industries, including manufacturing, industrial, financial, retail, medical, accounting and private investment funds. Her experience ranges from lower- to upper-middle-market corporate transactions.

Margaret’s practice extends beyond transactional work and includes all aspects of business planning and advising, including business formation, ownership restructure, ownership redemption, day-to-day business matters, contract preparation and negotiation and otherwise acting as “outside in-house counsel” to her clients.

With substantial financing experience, Margaret has also represented lenders and borrowers in the context of both secured and unsecured financing transactions, including acquisition financing, asset-based lending, cash-flow-based lending, real estate secured loans, credit facilities and construction loans.

Margaret currently serves on Chuhak & Tecson’s Finance Committee.

Represented an investment firm in its acquisition of ten machinery businesses throughout the northeast region, all occurring on the same day.
Represented a national private healthcare management company in the $55 million sale of all of the company’s membership units to a private equity company.
Represented a national fitness corporation in the $10 million sale of all of its assets.
Represented an investment firm in the acquisition of an east coast audio visual company.
Represented a national aquatic services corporation in the acquisitions of multiple aquatic services companies.
Represented an investment firm in the acquisition of a machinery business with multiple locations throughout the northeast region in excess of $30 million.
Represented an investment firm in the $19 million acquisition of a construction equipment business with multiple locations throughout the northeast region.
Represented a brokerage and consulting firm in the $20 million sale of all of its assets to a national insurance brokerage.
Represented an engineering company in the sale of all of its assets, including patented processes.
Represented an investment firm in the $10 million acquisition of a construction equipment business with multiple locations throughout the northeast.
Represented members of a Midwest-based toxicology testing and research laboratory in the sale of all of the company’s membership interests to a global laboratory corporation in excess of $65 million.
Represented an investment firm in the $10 million acquisition of construction equipment business with multiple locations throughout the south and southwest region.
Represented a fertility practice in the sale of all of its assets to a private investment group in excess of $15 million.
Represented an accounting firm in the sale of its assets to a larger Chicago-based accounting firm.

Represented an investment firm in its acquisition of membership interests of two operating companies and one subsidiary of a regional manufacturer and machinery company exceeding $80 million.
Represented a waste removal corporation in the sale of all of the corporation’s stock exceeding $40 million.
Represented an audio visual corporation in the $18 million stock purchase of an audiovisual equipment business.
Represented a fastener corporation in the $8 million sale of all of its assets.
Represented a logistics services and freight brokerage corporation in the sale of all of the corporation’s stock in excess of $11 million to a nationwide logistics company.
Represented a restaurant in the sale of all company assets to another restaurant chain.
Represented an engineering and manufacturing firm in the sale of all of its membership interests to a private equity company in the amount of $18 million.

Represented an investment firm in connection with a $2 million dollar revolving line of credit and $46 million dollar syndicated loan from regional bank, as administrative agent, and other lenders.
Represented an investment firm in connection with a $2 million dollar revolving line of credit and $5 million dollar term loan from a regional bank.
Represented a regional lender in connection with a $6 million dollar loan to a real estate investor to acquire multi-family buildings and make improvements.
Represented a regional lender in connection with a $3.2 million dollar commercial loan to a real estate investor secured by real estate, investment accounts and life insurance policies.
Represented a national bank in connection with a term loan to commercial real estate investor to acquire commercial real estate.
Represented a national bank in connection with loan facilities to a medical practice for the construction of the premises.
Represented regional lender in connection with a $23,000,000 construction loan to real estate investors.
Represented regional lender in connection with construction loans in the amounts of $5,500,000 and $3,500,000 to real estate investors.
